Welcome to PRG Lead Vault. By accessing or using this platform, you agree to be bound by these Terms of Service ("Terms"). Please read them carefully. If you do not agree to these Terms, you may not access or use PRG Lead Vault.

1. Acceptance of Terms

By creating an account or using any part of PRG Lead Vault (the "Service"), you confirm that you have read, understood, and agree to be bound by these Terms and all applicable laws and regulations. If you are using the Service on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms.

2. Description of Service

PRG Lead Vault is a data processing platform designed for real estate professionals. It allows users to upload lead data, process phone numbers against Do Not Call (DNC) databases, manage lead records, and export clean CSV files for use in CRM systems. PRG Lead Vault is a tool only — it does not generate leads, guarantee contact accuracy, or provide legal advice.

3. Permitted Use & User Responsibilities

You agree to use the Service solely for lawful business purposes. Specifically, you agree that:

• You will only contact individuals for whom you have obtained proper consent or have a lawful basis under applicable law, including the Telephone Consumer Protection Act (TCPA) and the National Do Not Call Registry.
• You are solely responsible for verifying that your use of any data processed through this platform complies with all applicable federal, state, and local laws, including but not limited to the TCPA, FCC regulations, state telemarketing laws, and real estate licensing requirements.
• You will not use the Service to transmit spam, make robocalls without consent, harass individuals, or engage in any deceptive or illegal practice.
• You will not attempt to reverse-engineer, scrape, or otherwise misuse the platform or its data.
• You will keep your account credentials confidential and are responsible for all activity under your account.

4. Data You Upload

You retain ownership of all data you upload to PRG Lead Vault. By uploading data, you represent and warrant that you have the legal right to process and use that data, and that doing so does not violate any third-party rights or applicable law. PRG Lead Vault is not responsible for the legality, accuracy, or quality of data you upload.

5. TCPA & DNC Compliance — Your Responsibility

PRG Lead Vault provides phone number scrubbing tools to assist users in identifying numbers listed on the National DNC Registry and other DNC databases via third-party providers. However, PRG Lead Vault does not guarantee compliance with TCPA, state DNC laws, or any other regulation. Scrub results may not be complete, current, or accurate. You are solely responsible for:

• Ensuring you have proper consent or a lawful basis before contacting any individual.
• Maintaining your own internal DNC list.
• Complying with all applicable federal and state telemarketing laws.
• Any fines, penalties, or legal liability arising from your use of processed data.

6. Payment & Billing

PRG Lead Vault charges fees for phone number scrubbing services on a per-use basis. Fees are calculated based on the number of unique phone numbers submitted for scrubbing. All fees are disclosed prior to processing. Scrub fees are non-refundable once processing has been initiated. You authorize PRG Lead Vault to charge applicable fees to your designated payment method. Pricing is subject to change with reasonable notice.

7. No Warranty — Data Accuracy

PRG Lead Vault provides the Service on an "as is" and "as available" basis, without warranties of any kind, express or implied. We do not guarantee the accuracy, completeness, timeliness, or fitness for any particular purpose of any data provided, processed, or delivered through the Service. DNC scrub results are sourced from third-party APIs and may not reflect real-time registry updates.

8. Limitation of Liability

To the maximum extent permitted by applicable law, PRG Lead Vault, its owners, officers, employees, and agents shall not be liable for any direct, indirect, incidental, special, consequential, punitive, or exemplary damages arising from or related to:

• Your use of or inability to use the Service.
• Any data processed, exported, or acted upon through the Service.
• Violations of TCPA, DNC regulations, or any other law by you or your agents.
• Any unauthorized access to your account or data.

In no event shall PRG Lead Vault's total liability to you exceed the fees you paid for the Service in the three (3) months preceding the claim.

9. Indemnification

You agree to indemnify, defend, and hold harmless PRG Lead Vault and its owners, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with your use of the Service, your violation of these Terms, or your violation of any applicable law or regulation.

10. Termination

PRG Lead Vault reserves the right to suspend or terminate your account at any time, with or without cause, and with or without notice, if we believe you have violated these Terms or any applicable law. Upon termination, your right to use the Service will immediately cease. Provisions of these Terms that by their nature should survive termination shall survive.

11. Modifications to Terms

We reserve the right to update or modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on this page with a revised effective date. Your continued use of the Service after any such changes constitutes your acceptance of the new Terms.

12. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law provisions. Any dispute arising from these Terms shall be resolved in the courts of competent jurisdiction in Florida.
